Introduction
nxtMate ERP Solutions Pvt. Ltd. (we, our, us) provides mobile applications, web applications, and a backend management system (our services) that help schools and school districts provide information, resources, and tools for administrators, teachers, parents, students, and other stakeholders (you, your).
Your use of our services constitutes agreement to this policy and the related terms governing use of nxtMate services.
Registration
You must be an administrator, officer, director, principal, superintendent, or authorized staff member to complete the organization registration or enrollment process.
Please review this policy carefully before submitting any enrollment details. Submission of the enrollment form constitutes a binding agreement for your organization to purchase and use nxtMate services for the applicable service term.
Changes to This Policy
We reserve the right to modify or replace any part of this policy. We will notify the authorized person for your organization of any substantial changes and provide an opportunity to review the revised terms before continued use of our services.
Your continued use of nxtMate services following any change constitutes acceptance of the updated terms, policies, or guidelines.
Payment Information
Upon receipt of an enrollment form for your organization, we may send an invoice for the amount due for the initial term to the authorized person or as otherwise instructed to accommodate your organization’s purchasing guidelines.
Payment is due upon receipt and our services will not be made available until we have received payment or a binding purchase order. Pricing is determined by what is published on our website and the options selected during enrollment.
Payment Gateway Services
nxtMate may provide online payment collection features for schools, institutes, parents, students, and other authorized users through approved third-party payment gateway, banking, UPI, card, wallet, net banking, and related payment service providers.
Payment gateway services are used only to facilitate collection, tracking, reconciliation, refund processing, reporting, and settlement of school fees, subscription fees, service charges, and other permitted amounts. Actual payment authorization, payment success, failed transaction handling, chargeback processing, and settlement timelines may depend on the applicable payment gateway, bank, card network, UPI system, or payment service provider.
- Users must provide accurate payer, student, invoice, billing, and transaction information while initiating a payment.
- nxtMate may store transaction references, payment status, gateway order IDs, receipts, settlement status, refund status, and related reconciliation information.
- Sensitive card, UPI PIN, net banking password, OTP, and similar payment authentication credentials are processed by the payment gateway or regulated payment provider and should not be shared with nxtMate staff.
- nxtMate may share limited transaction, invoice, school, payer, and beneficiary information with payment gateways, banks, auditors, tax advisors, regulators, or service providers when required to process, verify, refund, reconcile, or settle payments.
Payment Gateway Split Functionality
Where enabled for an organization, nxtMate may support split payment or split settlement workflows that allow a collected amount to be allocated between one or more eligible parties, such as the school, branch, trust, franchise, service provider, platform fee account, tax account, or other approved beneficiary.
Split rules may be configured based on the commercial agreement, fee category, campus, branch, payment type, invoice details, service charge, taxes, gateway charges, convenience fees, or other agreed allocation logic. Such split rules may be applied at the time of payment creation, settlement, reconciliation, or payout, depending on the gateway capability and the arrangement approved for the organization.
- The organization is responsible for confirming beneficiary details, bank account details, tax details, legal names, and split percentages or amounts before enabling split settlement.
- nxtMate may rely on payment gateway APIs and dashboard records to create, update, hold, reverse, or reconcile split payment instructions.
- Split settlement is subject to gateway approval, successful KYC verification, applicable law, bank validation, risk checks, and payment provider policies.
- nxtMate is not responsible for delays or failures caused by incorrect beneficiary details, incomplete KYC, bank downtime, gateway downtime, regulatory review, chargebacks, disputes, payment holds, or fraud-risk checks.
- Any change to split configuration should be requested by an authorized representative of the organization and may apply prospectively after verification.
Refunds, Cancellations, and Chargebacks
Refund and cancellation requests are governed by the applicable school policy, service agreement, invoice terms, and nxtMate’s published refund policy. nxtMate may facilitate refund initiation through the payment gateway only after receiving appropriate authorization from the organization or after confirming that the refund is otherwise permitted under the applicable arrangement.
Approved refunds may be credited to the original payment method or another method supported by the payment gateway. Refund timelines may vary based on the payment method, issuing bank, gateway, settlement state, and any required verification.
- Refund requests should include the transaction ID, payment date, payer details, student or invoice reference, refund amount, and reason for refund.
- Gateway charges, convenience fees, taxes, or already-settled amounts may be non-refundable unless otherwise required by law or agreed in writing.
- Partial refunds may be supported where permitted by the gateway and the organization’s policy.
- For split payments, refunds may require reversal, adjustment, or recovery from one or more beneficiaries before the refund can be completed.
- Chargebacks, payment disputes, failed payments, duplicate payments, or fraudulent transaction claims may require additional documents from the payer or organization and may temporarily affect settlement or payout.
Settlement, Payouts, and Reconciliation
Settlement of collected funds to the school, branch, or approved beneficiary is subject to payment gateway settlement cycles, banking holidays, risk review, transaction status, refund status, chargeback status, KYC status, and the commercial terms applicable to the organization.
nxtMate may provide dashboards, reports, receipts, transaction exports, settlement reports, payout references, and reconciliation tools to help organizations match gateway collections with invoices, fee ledgers, student accounts, and bank credits.
- Settlement reports may include gross amount, gateway charges, taxes, convenience fees, net amount, beneficiary share, settlement date, payout ID, bank reference, and transaction status.
- Organizations should review reconciliation reports regularly and notify nxtMate of any mismatch, duplicate transaction, missing settlement, or incorrect beneficiary mapping within a reasonable time.
- nxtMate may place a transaction, refund, or payout on hold when required by the payment gateway, bank, regulator, risk policy, legal request, or suspected misuse.
- Final accounting, tax treatment, fee classification, and statutory reporting remain the responsibility of the organization unless separately agreed in writing.
Payment Compliance and Records
nxtMate may retain payment records, invoices, settlement reports, refund records, chargeback records, audit logs, and communication records for legal, accounting, tax, security, fraud-prevention, dispute-resolution, and regulatory compliance purposes.
Organizations and users must not use nxtMate payment features for prohibited goods or services, unlawful transactions, money laundering, impersonation, unauthorized collections, or any activity restricted by applicable law, banking rules, card network rules, UPI rules, or payment gateway policies.
- nxtMate may suspend payment features if required documents, KYC details, beneficiary information, authorization records, or compliance confirmations are incomplete or inaccurate.
- nxtMate may update payment gateway processes, supported payment modes, settlement rules, refund procedures, and compliance requirements from time to time.
- Use of online payment features constitutes consent to the processing and sharing of payment-related data as needed to operate those features.
Renewal
Your organization’s account may automatically renew at the end of each term unless an authorized person instructs us of your organization’s intent to discontinue our services within the required notice period.
Subsequent-year pricing listed on our website is an estimate of expected annual costs and is not guaranteed to remain unchanged.
Training
Our services are designed to be intuitive, simple, and easy to learn. We may provide training for authorized persons and employees of your organization upon request through phone or web conference.
On-site training may also be available upon request at an additional charge.
Support
We provide technical support through email and phone and will use our best efforts to respond to support requests within one business day.

Content and User Responsibility
You are responsible for any text message, push notification, data, picture, video, audio, hyperlink, file, or other information transmitted through nxtMate services.
We reserve the right, though not the obligation, to refuse or remove any content that violates our policies or that we deem harmful, objectionable, or inappropriate, and to terminate or deny access to our services where necessary.
- Downloading, copying, and use of the content must not infringe the proprietary rights of any third party.
- If your employer has rights to intellectual property you create, you must have permission or a valid waiver before making that content available.
- You must comply with any third-party licenses relating to the content and pass through any required terms to end users.
- Content must not contain viruses, worms, malware, Trojan horses, or other harmful or destructive code.
- Content must not contain unethical or unwanted commercial content.
- Content must not contain threats or incite violence towards individuals or entities.
- Content must not violate the privacy or publicity rights of any third party.
- You grant us a worldwide, royalty-free, non-exclusive license to reproduce, modify, adapt, and publish the content as needed to provide the services.
App Stores and Distribution Channels
Google Play and the Apple App Store are owned and controlled by Google and Apple respectively. Both platforms reserve the right to reject or remove apps at any time without notice.
We do not guarantee the continuing availability of access to our services through these distribution channels. If access through these channels becomes unavailable, we may provide reasonable alternatives such as a browser-based web app or another nxtMate application experience.
Advertisements
Our services may contain advertisements unless an authorized person for your organization elects to opt out of advertising or sponsorship arrangements through written communication or enrollment instructions.
Advertisements may include banner or interstitial images, videos, or sponsored notifications shown before, after, or alongside your organization’s content. Where applicable, nxtMate may solicit advertisement sales, negotiate advertising terms, and collect advertiser payments on behalf of your organization.
Termination
An authorized person for your organization may request discontinuation of nxtMate services at any time by notifying us in writing. However, we may be unable to refund any unused portion of prepaid service fees.
Provisions that should survive termination by their nature, including ownership, warranty disclaimers, indemnity, and limitations of liability, will survive termination.
Disclaimer of Warranties
Our services are provided on an “as is” basis. We disclaim all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be error-free or that access will be continuous or uninterrupted. Your use of our services is at your own discretion and risk.
Limitation of Liability
We shall have no liability for any failure or delay due to matters beyond our reasonable control, except to the extent prohibited by applicable law.
- Any special, incidental, or consequential damages.
- The cost of procurement for substitute products or services.
- Interruption of use or loss or corruption of data.
- Any amounts exceeding the amount paid by you to us during the twelve-month period prior to the cause of action.
General Representation and Warranty
- Your use of our services will be in strict accordance with this policy, related agreements, and all applicable laws and regulations.
- Your use of our services will not infringe or misappropriate the intellectual property rights of any third party.
Indemnification
You agree to indemnify and hold harmless nxtMate, its contractors, licensors, directors, officers, employees, and agents from and against any claims and expenses, including attorneys’ fees, arising out of your use of our services.
Miscellaneous
This policy and related service terms constitute the entire agreement between nxtMate, your organization, your organization’s authorized persons, and you concerning the use of our services, and may only be modified by written amendment or by a revised version posted by us.
Except to the extent applicable law provides otherwise, disputes arising from use of our services will be governed by the applicable laws referenced in the governing agreement. If any part of this policy is held invalid or unenforceable, the remaining portions will remain in full force and effect.
